TERMS OF SERVICE

1. Acceptance of Terms

1.1. Agreement to Terms.

These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and TECHWAVE INTERACTIVE LIMITED ("Company," "we," "us," or "our"), concerning your access to and use of the TECHWAVE website, any mobile applications, and any games or services developed by us (collectively, the "Services").

1.3. Modification of Terms.

We reserve the right, in our sole discretion, to make changes or modifications to these Terms at any time and for any reason. We will alert you about any changes by updating the "Last updated" date of these Terms. Your continued use of the Services after the date such revised Terms are posted constitutes your acceptance of the changes.

1.4. Age Restriction.

The Services are intended for users who are at least 13 years old. If you are under the age of 18, you must have your parent or guardian review and agree to these Terms.

2. License and Intellectual Property Rights

2.1. License Grant.

Subject to your compliance with these Terms, we grant you a personal, non-exclusive, non-transferable, revocable limited license to install and use the Services for your non-commercial entertainment use.

2.2. Intellectual Property.

All intellectual property rights in the Services, including but not limited to the games, code, graphics, design, logos, sounds, and documentation ("Company Content"), are owned by us or licensed to us. The Services are licensed, not sold, to you.

2.3. Restrictions.

You shall not: (a) attempt to modify, adapt, translate, reverse engineer, decompile, or disassemble any portion of the Services; (b) use the Services for any commercial purpose without our express written consent; (c) use any unauthorized third-party software, tools, or services to exploit the Services; (d) bypass or interfere with any security-related features of the Services.

3. Virtual Items and In-App Purchases (IAPs)

3.1. Purchases.

The Services may offer virtual items, such as in-game goods or content upgrades ("Virtual Items"). You agree that all Virtual Items are non-refundable and are not exchangeable for real money, goods, or other items of monetary value from us or any other party.

3.2. Limited License to Virtual Items.

Virtual Items are subject to a limited, non-transferable, non-sublicensable, revocable license to use them within the Services. You do not own the Virtual Items; they remain the property of TECHWAVE INTERACTIVE LIMITED.

3.3. Pricing and Errors.

All pricing and availability of Virtual Items are subject to change without notice. We are not responsible for pricing errors and reserve the right to cancel any orders resulting from such errors.

4. User Conduct and Content

4.1. Prohibited Activities.

You agree not to: (a) harass, abuse, or harm another person, including our employees or other users; (b) upload or transmit (or attempt to upload or transmit) any viruses, Trojan horses, or other material that interferes with any party's uninterrupted use of the Services; (c) attempt to circumvent any security measures designed to protect the Services; (d) engage in cheating or exploitation, including using any bots, cheats, or automated means to access or interact with the Services.

4.2. Content Submission.

Any communications or material you transmit to us, including data, questions, comments, suggestions, or the like, will be treated as non-confidential and non-proprietary. You grant us a non-exclusive, perpetual, worldwide, irrevocable license to use, reproduce, modify, and publish any such material for any purpose.

5. Term and Termination

5.1. Term.

These Terms shall remain in full force and effect while you use the Services.

5.2. Termination by Us.

We reserve the right to suspend or terminate your access to the Services, or any part thereof, at our sole discretion, without notice, for any reason, including without limitation, breach of any representation, warranty, or covenant contained in these Terms.

5.3. Effect of Termination.

Upon termination of these Terms, your right to use the Services will immediately cease. Sections 2, 3, 6, 7, 8, and 9 shall survive termination.

6. Disclaimers and Warranties

6.1. "AS IS" Basis.

The Services are provided on an "AS IS" and "AS AVAILABLE" basis. Your use of the Services is at your sole risk. To the fullest extent permitted by law, we disclaim all warranties, express or implied, in connection with the Services.

6.2. Accuracy.

We make no warranties or representations about the accuracy or completeness of the Services' content and we will assume no liability or responsibility for any (a) errors or inaccuracies of content and materials, or (b) interruption or cessation of transmission to or from the Services.

7. Limitation of Liability

7.1. Limitation.

In no event will TECHWAVE INTERACTIVE LIMITED, or our directors, employees, or agents, be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the Services, even if we have been advised of the possibility of such damages.

7.2. Maximum Liability.

Notwithstanding anything to the contrary contained herein, our liability to you for any cause whatsoever and regardless of the form of the action, will at all times be limited to the amount paid, if any, by you to us during the six (6) month period prior to any cause of action arising.

8. Indemnification

8.1. Agreement to Indemnify.

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of: (a) your use of the Services; (b) your breach of these Terms of Service; (c) your violation of the rights of a third party, including but not limited to intellectual property rights.

9. Governing Law and Dispute Resolution

9.1. Governing Law.

These Terms and your use of the Services are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region of the People's Republic of China, without regard to its conflict of law principles.

9.2. Dispute Resolution.

Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts of Hong Kong. You and we hereby irrevocably submit to the exclusive jurisdiction of the courts of Hong Kong.

10. Miscellaneous

10.1. Entire Agreement.

These Terms of Service and any policies or operating rules posted by us on the Services constitute the entire agreement and understanding between you and us.

10.2. Waiver.

Our failure to exercise or enforce any right or provision of these Terms shall not operate as a waiver of such right or provision.

10.3. Severability.

If any provision or part of a provision of these Terms is determined to be unlawful, void, or unenforceable, that provision or part of the provision is deemed severable from these Terms and does not affect the validity and enforceability of any remaining provisions.
